Prudentia Sciences (“we,” “us” or “our”) wants you to be familiar with how we collect, use, disclose and otherwise process your personal information (“Personal Information”). This Privacy Notice (this “Notice”) describes how we process Personal Information about you that we collect through our digital and online properties or services that link to this Notice (including each website, application, electronic communications, and social media pages) as well as our marketing activities, investor relations, live events, and telephone and in-person communications (collectively, the “Service”). By accessing and using the Service, to the extent permitted by applicable law, you acknowledge receipt and understanding of this Notice. Our Service is designed for enterprise customers and their representatives. We do not offer products or services for use by individuals for their personal, family, or household purposes. Accordingly, we treat all Personal Information we collect as pertaining to individuals in their capacities as representatives of the relevant enterprise and not their individual capacities. This Notice does not apply to Personal Information we process on behalf of our business customers while providing services to them. Our use of information that we process on behalf of our business customers is governed by our agreements with such customers. If you have concerns regarding your Personal Information that we process on behalf of a business customer, please direct your concerns to the business customer with which you have a relationship. This Privacy Policy does not apply to our employees, independent contractors, or job candidates.

Personal Information We Collect

What You Give Us: Some parts of the Service may ask you to submit Personal Information for you to benefit from the specified features or to participate in a particular activity. For example, you may provide Personal Information to us in the following ways:

• Contact Us Forms and Correspondence: If you contact us, we may keep a record of that correspondence. For example, we collect the information that you provide on the “contact us” form available on the Service.
• Registration For an Account: Some parts of the Service may allow you to register for an account. If you register for an account with us, we will collect the information that you voluntarily provide when registering. This information may include your name, username, and password.
• Subscribe to Mailing List: If you subscribe to our mailing list, we will collect your email address.
• As Described at the Point of Collection: We may inform you of other Personal Information collected by or through the Service at the point of collection.

The categories of Personal Information you may provide us include:

• Contact data, such as your name, alias, signature, salutation, email address, billing and mailing addresses, and phone number.
• Profile data, such as account name, the username and password that you may set to establish an online account on the Service, biographical details, job title, avatar, photograph or picture, date of birth, interests, preferences, links to your profiles on social media networks, and any other information that you add to your account profile.
• Communications data based on our exchanges with you, including when you contact us through the Service, communicate with us via email, phone, chat features, social media, or otherwise.
• Marketing data, such as your preferences for receiving our marketing communications and details about your engagement with them.
• Call/video recordings, such as recordings of customer support calls.
• Employment information, such as your past and current employers and job titles
• Education information, such as schools you have attended and academic certifications.
• Other data not specifically listed here, which we will use as described in this Privacy Policy or as otherwise disclosed at the time of collection

Data about others. We may offer features that help users invite their contacts to use the Service, and we may collect contact details about these invitees so we can deliver their invitations. Please do not refer someone to us or share their contact details with us unless you have their permission to do so.

Third-party sources. We may combine Personal Information we receive from you with Personal Information of the kinds identified above that we obtain from other sources, such as:

• Public sources, such as credit bureaus, government agencies, public records, publicly accessible social media profiles, and other publicly available sources.
• Data providers, such as information services, data licensors/brokers, lead generators and cooperative databases.
• Service providers that provide services on our behalf or help us operate the Service or our business.
• Partners, such as joint marketing partners and event co-sponsors.
• Ad networks
• Data analytics providers
• Social media platforms

When we combine Personal Information you submit through the Service with other information we have collected from or about you, whether on-line or off-line, we treat the combined information in accordance with this Notice. Personal Information Automatically Collected from Use of the Service: Through your use of the Service, we, our service providers, and our advertising partners may automatically gather certain information about you, your computer or device, and your interaction over time with the Service, our communications and other online services, such as:

• Device data, such as your computer operating system type and version, manufacturer and model, browser type, device type (e.g., phone, tablet), IP address, unique identifiers (including identifiers used for advertising purposes), language settings, and general location information such as city, state or geographic area.
• Communication interaction data such as your interactions with our email, text, chat or other communications (e.g., whether you open and/or forward emails) – we may do this through use of pixel tags (which are also known as clear GIFs), which may be embedded invisibly in our emails enabling us to detect if you have opened or forwarded a message.
• Online activity data, such as pages or screens you viewed, search history, how long you spent on a page or screen, the website you visited before browsing to the Service, navigation paths between pages or screens, information about your activity on a page or screen, access times and duration of access, and whether you have opened our emails or clicked links within them.

Generally, this information is collected through what we refer to herein as “Traffic Data.” We may collect and store such Traffic Data automatically whenever you interact with the Service. For example, we may collect your IP address, the hostname of your computer, browser information and reference Service domain name every time you visit the Service. We may also collect information regarding customer traffic patterns and Service usage. This Traffic Data is used to analyze and improve the Service and to provide our users with a fulfilling Internet experience. Please see the section below in this Notice regarding Passive Information Collection for more information about our use of cookies and other technologies. Tracking technologies. Some of the automatic collection described above is facilitated by the following technologies:

• Cookies, which are small text files that websites store on user devices and that allow web servers to record users’ web browsing activities and remember their submissions, preferences, credentials, and login status as they navigate a site. Cookies used on our sites include both “session cookies” that are deleted when a web browser session ends, “persistent cookies” that remain longer, “first party” cookies that we place and “third party” cookies that our service providers and other third parties place.
• Local storage technologies, like HTML5, that provide cookie-equivalent functionality but can store larger amounts of data on your device outside of your browser in connection with specific applications.
• Web beacons, also known as pixel tags or clear GIFs, which are used to demonstrate that a webpage or email was accessed or opened, or that certain content was viewed, clicked or forwarded.
• Chat technologies, such as those provided by third parties that employ cookies and software code to operate the chat features that you can use to communicate with us through the Service.  These third parties may access and use information about webpages visited on our website, your IP address, your general geographic information (e.g., city, state), and other personal information you share through online chats to respond to your questions and for the purposes described in this Privacy Policy.
• Session-replay technologies, such as those provided by third parties that employ software code to record users’ interactions with the Services in a manner that allows us to watch video replays of those user sessions. The replays include users’ clicks, mobile app touches, mouse movements and scrolls during those sessions. These replays help us diagnose usability problems and identify areas for improvement.

We may collect or generate inferences from any of the above Personal Information. While this information may provide a better user experience on our sites, you may opt-out of these tracking technologies

How We Use Personal Information

We use Personal Information submitted by you or otherwise collected through the Service for the purposes described in this Notice and as otherwise described to you at the point of collection. Generally, we use the information you provide for the reason for which it was provided. For example, if you contact us by e-mail, we will use the Personal Information you provide to answer your question or resolve your problem and will respond to the email address from which the contact came. We may also use Personal Information about you as specifically described below:

Service delivery and operations

Provide and operate the Service and our business, including establishing and maintaining your user profile on the Service;
Process requests, inquiries, and applications: We may use your Personal Information to process, evaluate, and respond to your requests, inquiries, and applications. So, if you request certain information from us, we will use your Personal Information to process and respond to your request;
Enable security features of the Service;
Personalize the Service, including remembering the devices from which you have previously logged in or accessed the Service and your selections and preferences as you navigate the Service;
Communicate with you about the Service: We may use your Personal Information to send you important information regarding our relationship with you or regarding the Service, such as information about changes to our terms, conditions, policies, and other support or administrative information, Service-related announcements, events for which you register, and security alerts;
Internal business purposes: We may use your Personal Information for internal business purposes, including without limitation, to help us operate, evaluate, and improve the quality of the Service; to better understand those individuals that utilize the Service; to verify your identity; to prevent, protect against, identify, or address fraud, unauthorized activity, claims, liabilities, and other wrongdoing; to provide you with customer service; and to generally manage our business, and

Research and development

We may use your Personal Information for research and development purposes, including to develop, analyze and improve our Services. As part of these activities, we may create aggregated, de-identified or other anonymous data from Personal Information. We may use this anonymous or de-identified data and share it with third parties for any lawful business purposes. We do not attempt to reidentify deidentified information derived from personal information, except for the purpose of testing whether our deidentification processes comply with applicable law.

Marketing and advertising

We, our service providers and our third-party advertising partners may collect and use your personal information for marketing and advertising purposes:
Direct marketing: We may send you direct marketing communications and may personalize these messages based on your needs and interests. You may opt out of our marketing communications as described below.  
Interest-based advertising: We and our third-party advertising partners may use cookies, pixels and other technologies to collect information about your interaction with the Service, our communications and other third party online services over time, and use that information to serve online ads that they think will interest you. This is called interest-based advertising. We may also share information about our users with these companies to facilitate interest-based advertising to those or similar users on other online properties. Events, promotions and contests: We may use your Personal Information to administer promotions and contests, communicate with you about events in which you participate, or contact or market to you after collecting your Personal Information at an event.

In some cases, we may specifically ask for your consent to collect, use, or share your Personal Information for further purposes, if those purposes are not compatible with the initial purpose for which that Personal Information was collected.

In addition to the other uses described in this section, we may use tracking technologies for the following purposes:
Technical operation: To allow the technical operation of the Service, such as remembering selections as you navigate the site and remembering whether you are logged in.
Functionality: To enhance the performance and functionality of our Service.
Analytics: To help us understand user activity on the Service, including the volume and demographics of users, which pages are most and least visited and how users move around the Service or interact with our emails. For example, we use Google Analytics for this purpose. Legal requirements, compliance with applicable laws, protection, industry standards, and contractual obligations: We may use your Personal Information for complying with and enforcing applicable legal requirements, industry standards, and our contractual obligations (such as enforcing the terms of our Service); protecting you, your, or others’ rights, safety, privacy, or property (including making or defending legal claims); complying with laws, lawful requests, and legal process; audit or internal processes for compliance with legal and contractual requirements or our internal policies; and preventing, identifying, investigating, or deterring fraudulent, harmful, unauthorized, unethical, or illegal activity.
Data sharing in the context of corporate transaction: We may share certain Personal Information in the context of actual or prospective corporate transactions – for more information, see the below section on “Disclosure of Your Personal Information.”

Disclosure of Your Personal Information

We may disclose your Personal Information to any member of our affiliates and subsidiaries for the purposes described in this Notice. We may disclose your Personal Information to third parties:
Service Providers: Who are third parties that perform functions on our behalf or otherwise help us operate the Service or our business. Examples include providing customer service, sending postal mail and e-mail, IT providers, hosting the Service, and providing marketing assistance.
Business Transfers: In the event of any actual or prospective business transactions (e.g., reorganization, merger, sale, joint venture, assignment, transfer, investment into or financing of Prudentia Sciences, or other disposition of all or any portion of our business, assets, or stock (including in connection with any bankruptcy or similar proceeding)), we may disclose your Personal Information to counter-parties and their advisors as well as an acquirer, successor, or assignee of all or a portion of our business or data assets.
Advertising partners / ad networks: Third-party advertising companies for the interest-based advertising services described above.
Social networks: We use their ad services to display ads to our customers, or other people like them, on social media.
Third parties designated by you: We may share your Personal Information with third parties where you have instructed us or provided your consent to do so.
Sponsor Partners: Third parties with whom we partner, including parties with whom we co-sponsor events or promotions, with whom we jointly offer products or services, or whose products or services may be of interest to you.
Professional advisors: Professional advisors, such as lawyers, auditors, bankers and insurers, where necessary in the course of the professional services that they render to us.
Legal Requirements: If we are under a duty to disclose or share your Personal Information in order to comply with any legal obligation or to respond to legal process such as a subpoena, warrant, or court order; in order to enforce or apply our terms of use and other agreements or to protect the rights, property, or safety of Prudentia Sciences or any affiliate, our customers, or others. This includes exchanging information with other companies and organizations for the purposes of fraud protection.

Your Rights and Choices

‍Access or update your information: If you have registered for an account with us through the Service, you may review and update certain account information by logging into the account and navigating to your account profile and settings. You can otherwise update your Personal Information by contacting us with the request.
Opt-out of communications: Where it is in accordance with your preferences, Prudentia Sciences may send you direct electronic communications, such as through email. You may “opt out” of receiving these electronic communications by following the instructions in the message that you receive, or by sending an email to Prudentia Sciences indicating which communications you no longer wish to receive. Note that if you are a customer, we may still send certain administrative messages to you by email that relate to the products that you have ordered or services that you have signed up to receive from Prudentia Sciences.
Cookies: Most browsers let you remove or reject cookies. To do this, follow the instructions in your browser settings. Many browsers accept cookies by default until you change your settings. Please note that if you set your browser to disable cookies, the Service may not work properly. Blocking images/clear gifs: Most browsers and devices allow you to configure your device to prevent images from loading, so the business hosting the image will not detect that you have viewed a page. To do this, follow the instructions in your particular browser or device settings.
Advertising choices: You may be able to limit use of your information for interest-based advertising through the following settings/options/tools:
Browser settings. Changing your internet web browser settings to block third-party cookies.
Privacy browsers/plug-ins. Using privacy browsers and/or ad-blocking browser plug-ins that let you block tracking technologies.
Platform settings. Some platforms offer opt-out features that let you opt-out of use of your information for interest-based advertising. You may be able to exercise that option for Google at the following website: https://adssettings.google.com/
Mobile settings: Using your mobile device settings to limit use of the advertising ID associated with your mobile device for interest-based advertising purposes.
You will need to apply these advertising-related opt-out settings on each device and browser from which you wish to limit the use of your information for interest-based advertising purposes. We cannot offer any assurances as to whether the companies we work with participate in the opt-out programs described above.

We are not responsible for the privacy practices of other online services, including other websites. It is your sole obligation to review and understand the privacy practices and policies of third parties. We do not control the use of cookies or the collection of information by these third parties, nor how they manage such information. The availability of, or inclusion of a link to or interface with, any third-party service on the Service does not imply endorsement of it by us or by our affiliates. Your use of those other Services and services is subject to the privacy policies of those Services and services, and not this Notice. We encourage you to read the privacy policies of the third-party websites, mobile applications and online services you use.

Do Not Track

We recognize and honor browser-based Universal Opt-Out Mechanisms, such as the Global Privacy Control (GPC). When our system detects a GPC signal from your browser, we will automatically treat it as a valid request to opt out of the "sale" of your Personal Information, to the extent required by applicable state laws. This allows you to exercise your opt-out preferences automatically without needing to submit individual requests.

We may use social media plug-ins from social media networks like LinkedIn, Facebook, Pinterest, Instagram, YouTube and Twitter, which are labeled on our Service with the well-known symbols of the respective social network. If you interact with these plug-ins, your activity on the Service may also be made available to those social networks. In order to understand how those social networks use and disclose your Personal Information, please review the privacy policies available on the websites of those social networks.

Security

We use organizational, technical, and administrative measures designed to protect Personal Information under our control. Unfortunately, no data transmission over the Internet or data storage system can be guaranteed to be 100% secure. If you have reason to believe that your interaction with us is no longer secure (for example, if you feel that the security of any account you have with us has been compromised), please immediately notify us of the problem.

Information Related to Minors

The Service is not intended for persons under the age of 18. We do not knowingly collect Personal Information online from persons in this age group. We reserve the right to delete any information identified as having been provided by such persons at our discretion. If you are a parent or guardian of a minor from whom you believe we have collected Personal Information, or if information was provided on your behalf when you were under 18, please contact us.

International Data Transfer

We are headquartered in the United States and may use service providers that operate in other countries. Your Personal Information may be transferred to the United States or other locations where privacy laws may not be as protective as those in your state, province, or country.  Users in Europe should read the information provided below about the transfer of personal information outside of Europe.

Data Retention

We generally retain Personal Information for so long as it may be relevant for the purposes identified in this Notice or at the time the information is collected, unless a longer period of time is required by law. To determine the appropriate retention period for Personal Information, we may consider factors such as the length of time we have an ongoing relationship with you and provide services to you; the amount, nature, and sensitivity of the Personal Information; the potential risk of harm from unauthorized use or disclosure of your Personal Information; the purposes for which we process your Personal Information and whether we can achieve those purposes through other means; whether there is a legal obligation to which we are subject (for example, certain laws require us to keep records of your transactions for a certain period of time before we can delete them); whether retention is advisable in light of our legal position, such as in regard to applicable statutes of limitations, litigation or regulatory investigations; and applicable legal requirements. For example, we will retain your Personal Information for as long as you have an account with us or keep using our Service, and the length of time thereafter during which we may have a legitimate need to reference your Personal Information to address issues that may arise. When we no longer require the Personal Information we have collected about you, we may either delete it or de-identify it.
